1. Appointment of Proxy: A member entitled to attend and vote at the meeting is entitled to appoint a proxy to attend and vote (on a poll only) instead of himself / herself and such a proxy need not be a member of the company. Proxies in order to be effective must be received at the registered office of the company not less than 48 hours before the commencement of the meeting. (proxy form MGT-11 - Annexure A) A person can act as a proxy on behalf of members not exceeding fifty and holding in the aggregate not more than ten percent of the total share capital of the Company carrying voting rights, may appoint a single person as proxy, who shall not act as a proxy for any other member. 2. Corporate Members: Corporate Members intending to send their authorized representatives to attend the meeting are requested to send a certified copy of the Board Resolution authorizing their representative to attend and vote on their behalf at the Meeting. 3. Explanatory Statement: The Explanatory Statement pursuant to Section 102(1) of the Companies Act, 2013, in respect of the special businesses not required as there were no special businesses. 4. The Register of Members and Share Transfer Books of the Company will remain closed from Saturday, 21st September, 2019 to Friday, 27th September, 2019 (both days inclusive). 5. Members holding shares in physical form are requested to intimate any change of address and / or bank mandate to the Company immediately. 6. Attendance Slip: Members/Proxies/Representatives should bring the attendance slips (Annexure B) duly filled, signed and stamped in for attending the meeting and further requested to bring their copy of annual report. 7. Members of the Company had approved the re-appointment of M/s. Vijay K. Bhalla & Co., Chartered Accountants, as the Statutory Auditors at the AGM of the Company which is valid till fifteenth AGM of the Company. 8. Pursuant to Section 101 and Section 136 of the Companies Act, 2013 read with the relevant Rules made there under, companies can serve Annual Reports and other communications through electronic mode to those Members who have registered their e-mail address either with the Company, Members of the Company who have registered their e-mail address are also entitled to receive such communication in physical form, upon request.
