1. BUSINESS DESCRIPTION Hayagriva Equus International Pvt Ltd will be a moderately sized equestrian facility that provides horse boarding, horse training, riding, groom and farrier instruction, Vetrinary, Farrier, tack, breeding, horse import/export , transportation, recreational services. In the horse stable, we plan to take in 10-15 boarded horses, 5-6 horses in training, and 4-5 lesson horses. Lessons will be provided in English riding (dressage, jumping, eventing, and english pleasure). Hayagriva Equus International Pvt Ltd will be located at Deshmukhwadi, Talegaon dabhade, Pune. This property consists of close to an acre. We plan to build a 20 stall horse barn, an indoor lighted arena, and an outdoor lighted arena. We will also fence the entire property, and cross fence to provide smaller turnout pastures for the horses. The property is a prime location, near public land (for trail riding), and easily accessible from Mumbai and Pune. We intend to estabilish ourselves at Gurgaon and Bangalore in future. 3. MANAGEMENT Seema Nagarkar is the owner and general managers of the facility. Seema’s Son Lt Col Suhel Nagarkar is a serving Army Officer and is a successful Intermediate Level Event competitor with strong ties to the community. He has been associated with horses for past 29 years. He is the first Indian CDI 2* international, Intermediate 1 dressage medalist of India. He supports Seema’s equine endeavour in total. Hayagriva Equus International Pvt Ltd will be a privately owned Coy. The real assets of the business (land and building) will be owned by Hayagriva Equus International Pvt Ltd, and the operations of the business will be owned by Hayagriva Equus International Pvt Ltd,. The members of Hayagriva Equus International Pvt Ltd, will be Seema and Krishna Nagarkar, who will each have 75% and 25% ownership respectively in the Coy. Hayagriva Equus International Pvt Ltd, will be structured as an S Coy with the following officers: Seema Nagarkar, President and Secretary; Krishna Nagarkar, Vice President Preeti Borgaonkar CEO and Treasurer. Stock ownership will be divided as follows: Seema Nagarkar 75%andKrishnaNagarkar 25%. Other experts who will be assisting in our start up efforts and will serve as consultants on an on-going basis include the following: Mr. Vivek Kyadal, attorney, will be advising us in legal matters pertaining to our horse business plans as they arise. Kruti Services, Mumbai will be our accountant. This office will handle and tax preparation for our horse business. Tasib Khan , will take care of farming the land. He plans to rotate grass and alfalfa, to bale the grass and alfalfa hay for use in our facility. Mr Chaitanya Panchal, Booster Animal Feed will be advising us on feed concentrates and feed regimens for the horses. Dr. Vikram Malhotra will be advising us on veterinary issues for horses in our horse business. Tasib Khan will be our barn farrier. He is the most skilled and talented farrier available with us. 4.FINANCES Our requirements for start-up capital for our horse stable are detailed in the attached list. We plan to purchase additional property at Deshmukhwadi, Talegaon Dabhade. Seema Nagarkar will provide the downpayment for the commercial mortgage for the land. They will also provide a truck and horse trailer for business use, and sufficient funds to cover initial costs of hay, feed concentrate, and bedding. They will also provide funds for fencing and farm equipment. We are seeking financing for purchase of two imported Olympic bloodline horses (Stallion and Mare), construction of the horse stable, arenas, and hay barn, plus a business operating line of credit. The construction of the stable, arenas, and hay barns are one-time capital expenses (and these structures will be depreciated as a business expense). Repairs to these structures and the fencing are included in our monthly cash flow projection to indicate the ongoing requirements for cash. We plan to use the line of credit to cover the initial costs of these items, and to pay back the line as income accrues from business activities. We are in possession of Horse Import/Export License from DGFT and have applied ourselves as an ISO Coy. We have all the compliances in hand with respect to our business model. We want to obtain from MSME, permission to run Certificate course for imparting training to Grooms and Farriers a first of its kind training in the field. We are in process to register ourselves with the National Federation, Equestrian Federation of India.
