i. To establish, provide, maintain, conduct, manage, promote and participate in the promotion, organization, development and management of research and training colleges, school libraries and other institutions associations, organizations and establishments for the promotion or dissemination of knowledge training, education and instruction of students and others who may desire to avail themselves of the same and for research in any branch of knowledge and to provide for the delivery and holding of lectures, demonstrations, exhibitions, classes, meetings and conferences in connection there with as may be necessary in connection with the main objects or business of the Company. ii. To open accounts whether current deposit, saving deposit, term deposit or under any name or title, cash-credit, overdraft, or other bank accounts with any Bank, Financial Institutions, Government, Treasury and to draw, make, accept, endorse, discount and execute all kinds of negotiable and transferable instruments and securities and to comply with the terms and conditions of such credit facilities. iii. To draw, make, accept, endorse, discount, negotiate, execute and issue bills of exchange, promissory notes, bills of lading, debentures and other negotiable or transferable instruments, cheques, letter of credits, or securities. iv. To pay all the costs, charges and expenses preliminary and incidental to the promotion, formation, registration and establishment of the company and for the issue of its capital. To incur all the expenses, cost, charges, pay compensation, remuneration, salaries, wages, rents, rates, taxes, fees, insurance, commission, interest, penalties, claims, donation, gifts, royalties, consideration or any expenses of any kind in any manner and to receive income, revenue, fees, proceeds, royalties, charges, consideration, proceeds, claims, compensation, donation, gifts, interest, commission and reimbursement of expenses related to or connected with the business of the Company in India or aboard. v. To undertake and execute any trust, the undertaking of which may seem to the Company desirable, either gratuitously or otherwise to vest any real or personal property, rights or interests acquired by or belonging to the Company in any person or company on behalf or for the benefit of the Company, and with or without any declared trust in favour of the Company to accept gifts and to give gifts and donations, to create trusts for the welfare of employees members, directors and or their dependants, heirs and children, and for any deserving object and for other persons or for charity or for uplift of society. vi. To procure the registration, licences, permissions, consents or recognition for the Company in or under the laws of any place in India or abroad and incur all such expenses, cost, charges, fees as may be thought fit. vii. To purchase, take on lease or license, tenancy or in exchange, hire, or otherwise acquire any right or interest or privileges whatsoever may be to hold, own, possess, develop, build, work, or deal with in any manner whatsoever and to lease out, grant concessions, licenses, privileges, sell, dispose of any assets, properties, copy rights, patents, movable or immovable as may appear to be necessary or convenient for the business of the Company. viii. To maintain books of accounts and other records, documents, invoices, vouchers as required under the laws prevalent from time to time whether the Company itself or through outsourcing from any agency, consultant, firm or organization in India or abroad. ix. To appoint any person, firm, agency, company as consultant, accountant, lawyer, counsel, technician, engineer, architect, designer, planner, advisor, broker, representative, dealer, franchisee, expert, banker, financier, caretaker, manager, employee, worker, labour, artist, artisan, trainee, for attainment of any of the objectives of the Company. x. To enter into all contracts with persons in India or outside for the purchase or sale of all goods, materials, commodities, metals, minerals, jewels, stores, provisions and produce of all kinds, both raw and manufactured, for the business of the Company and to make advances to persons in India or outside in respect of such contracts for the development of the business of the Company. xi. To place to reserve or to distribute as dividend or bonus among the members or otherwise to apply, as the Company from time to time may think fit any moneys received by way of premium on shares or debentures issued at a premium by the Company and any moneys received in respect of dividends accrued on forfeited shares and moneys arising from the sale by the Company of forfeited shares or from unclaimed dividends. xii. To capitalise its reserves and issue bonus shares. xiii. To adopt such means of makings known the business of the Company as may seem expedient and in particular by advertising in the press by circulars, by purchase and exhibition
