In these regulations- (a) the Act means the Companies Act2013(b) the seal means the common seal of the company. (2)Unless thecontext otherwise requires words or expressionscontained in theseregulations shall bear thesame meaning as inthe Act or anystatutory modification thereof in force at the date atwhich theseregulationsbecome binding on the company.(3) Thecompany is aprivate company within the meaning of section 2(68)of theCompanies Act 2013 andaccordingly(i) The right to transfershares inthe Company is restricted in the manner and to theextenthereinafterappearing.(ii) The number of members of theCompanyshall be limited to two hundred.Provided that where twoor morepersons hold one or more shares in the Company jointlythey shallfor thepurposes of this clause be treated as asinglemember.Provided further that-(A) persons who are intheemployment of the Company and(B) persons who havingbeenformerly in the employment of the company were members ofthecompanywhile in that employment and have continued tobemembers after the employment ceased shall not be included inthenumber of members and(iii) No invitation to the publictosubscribe for any securities of the company shall be made.
